DAO COLLABORATOR AGREEMENT
THIS AGREEMENT made this day of_____, 20___, by and between___________________, hereinafter referred to as the Collaborator, and ________________________, hereinafter referred to as the DAO (Decentralized Autonomous Organization).
WITNESSETH, that the Collaborator and the DAO, for the consideration named, agree as follows:
ARTICLE 1. SCOPE OF THE WORK
The Collaborator shall contribute expertise, resources, and services as specified in the collaboration proposal and/or described in the specifications entitled Exhibit A, as annexed hereto, relating to activities to be performed within the DAO.
ARTICLE 2. TIME OF CONTRIBUTION
The collaboration work shall commence on or before ____________, 20, and shall be ongoing until mutually agreed upon by the Collaborator and the DAO. Timeframes for specific tasks and deliverables shall be outlined in the collaboration proposal.
ARTICLE 3. COMPENSATION
The DAO shall compensate the Collaborator for the services and contributions provided under this Agreement as outlined in the collaboration proposal, subject to any adjustments agreed upon by both parties.
ARTICLE 4. PAYMENT TERMS
Payments to the Collaborator shall be made in accordance with the terms outlined in the collaboration proposal or as otherwise agreed upon by both parties.
ARTICLE 5. GENERAL PROVISIONS
All collaborative work shall be performed in a professional manner and in compliance with relevant laws and regulations.
The Collaborator shall comply with any legal requirements related to their expertise and contributions within the DAO.
The DAO may engage additional collaborators or subcontractors, as needed, but shall remain responsible for the overall success of the collaboration.
The Collaborator shall provide appropriate documentation or reports for the work performed, as requested by the DAO.
Any changes or modifications to the collaboration agreement shall be documented in writing and agreed upon by both parties.
The Collaborator warrants that they have the necessary expertise and permissions to contribute to the DAO.
The DAO shall be responsible for obtaining any necessary permissions, licenses, or approvals related to the collaborative work.
The Collaborator agrees to maintain the confidentiality of any proprietary information shared within the DAO.
In the event of a failure to compensate as agreed, the Collaborator may suspend their contributions until payment is received.
Any disputes arising from this collaboration shall be resolved through negotiation and, if necessary, through binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body.
The Collaborator shall not be held liable for delays or failures in contribution due to circumstances beyond their control.
The Collaborator warrants the quality of their contributions for a period of ________ months following completion.
IN WITNESS WHEREOF, the Collaborator and the DAO have executed this Agreement as of the date first above written.
